Puig buys majority stake in Charlotte Tilbury in billion dollar deal

The transaction will see founder Charlotte Tilbury rollover a significant minority stake to remain with the company.

The Barcelona fashion and fragrence company Puig, which is taking a majority stake in the company, was advised by Baker McKenzie and BDT Capital Partners which is investing alongside Puig, taking a minority interest. The deal, which is said to be in the region of $1 billion dollars, will see founder Charlotte Tilbury continue on as chairman, president and chief creative officer. The British luxury make up and skincare brand was represented by Freshfields Bruckhaus Deringer and Withers Worldwide. 

Barcelona-based Puig owns brands such as Paco Rabanne, Jean Paul Gaultier and Nina Ricci. It also makes fragrances under license for Christian Louboutin, Comme des Garçons and the singer-songwriter Shakira, among others. 

The acquisition of a majority stake in Charlotte Tilbury will add an established make up and skincare brand to Puig’s existing portfolio of fashion, fragrance, and luxury beauty brands. Charlotte Tilbury's product portfolio and digital capabilities gives Puig a strong foothold in the luxury beauty category. Charlotte Tilbury will also be able to access Puig’s global footprint and operations to expand its worldwide presence. 

 The London based Baker McKenzie team was led by corporate partner David Scott, and senior associate Tom Edwards. They were assisted by IP/Tech Partner Michelle Blunt, Employment Partner Stephen Ratcliffe, and Tax Partner Alistair Craig.
